- Ascertain the needs of our client from a BEE partner;
- Provide a partner matrix that could embrace a Strategic Partner, Charitable Trust or Employee Share Scheme as the platform to launch the decision-making process;
- Identify BEE partners who can fulfil these requirements; and finally
- Negotiate the transaction between our client and the identified BEE partners.
2. Transaction structuring and advisory
We provide a full a transaction advisory service, including:
- The design and structuring of schemes;
- The modelling and optimization of a Broad-Based Black Economic Empowerment ("BBBEE") Scorecard;
- Tax advisory;
- Funding structures;
- Risk analysis; and
- An assessment of suitable scheme wind-up mechanisms.
3. Setting up Broad-Based and Charitable Trusts
Our turnkey service comprises the design, drafting and lodging of a Broad-Based Trust Deed that is compliant with the Code of Good Practice by the Department of Trade and Industry (DTI) as well as the Department of Energy's tender requirements. Ownership Solutions understands the complexities of such collaborations and provides the expertise to ably guide you through the process.
4. Administration of Broad-Based Trusts
Ownership Solutions provides financial management and trust secretarial services to schemes. Our experience and capacity enables us to implement the correct corporate governance procedures, while we are also proficient in the communication of the scheme to fiduciaries and beneficiaries. Furthermore, Ownership Solutions manages participant expectations, and can attain independent black men and women who are suitably qualified to serve as trustees.
